This Terms of Use will be effective from February 21st, 2023.
Comunix Ltd. – Cash Friendzy Promotion Terms
The following are the terms and conditions of the Company promotion (the "Cash Friendzy Promotion" and "Cash Friendzy Promotion Terms"), which is sponsored by Comunix Ltd. ("Company", "us" or "we" or "our"). Participation in the Promotion shall be subject to the provisions below and the Company's Terms and Conditions ("Terms"), General Promotion Rules ("General Promotion Rules") and Privacy Policy ("Privacy Policy").
Capitalized terms used but not defined herein shall have the meaning given to them in the Terms and General Promotion Rules.
General
1. The Cash Friendzy Promotion shall commence on 22nd of February, 2023, at: 3:00 PM UTC and shall conclude on 3rd of March, 2023, at: 3:00 PM UTC (the “Promotion Period”).
2. You agree that in order to participate in the Cash Friendzy Promotion (including, without limitation, in order to win any reward), you will fully comply with all applicable laws, regulations, statutes, ordinances and provisions that apply to you and to us, including, without limitation, these Cash Friendzy Promotion Terms, Terms and General Promotion Rules.
3. There is no cost to enter the Promotion or any obligation associated with participating in it, except as described below.
Eligibility
4. In order to participate in the Cash Friendzy Promotion you hereby represent and warrant that you:
● have an account registered with the Services;
● are at least eighteen (18) years old;
● reside in the United States;
● are eligible under applicable law to participate in the Cash Friendzy Promotion; and
● have the full right and authority to participate in the Cash Friendzy Promotion.
5. You successfully reached level Two (2) in our game Poker Face: Texas Holdem Live.
6. You may not use multiple email addresses, accounts or identities or any other method in order to participate in the Cash Friendzy Promotion more than once. You may not register on behalf of another person.
7. You may be asked at any time to provide us or our designated third party with proof of your, or your Qualifying Referral's, age and/or identity and/or residency and you must, on demand, be able to present a valid documentation which may enable us to verify your, or your Qualifying Referral’s age, residency and/or identity to the reasonable satisfaction of our team. If you are unable to provide satisfactory documents, we may exclude you from the Cash Friendzy Promotion and may forfeit any privileges or awards that have been allocated to you without compensation of any kind. You hereby irrevocably waive any claims or rights in connection with any such exclusion and/or forfeiture.
How to enter the Cash Friendzy Promotion and selection of winners
8. The Cash Friendzy Promotion consists of a promotion, the winners of which will be entitled to Prizes (as detailed below).
9. To participate in the Cash Friendzy Promotion, players have to gain at least 5 tickets as mentioned in #10 below.
10. Players will be entitled to one (1) ticket to participate in the Cash Friendzy Promotion for each Qualifying Referrals brought to our Services. A "Qualifying Referral" means that all of the following cumulative conditions are met:
● The Qualifying Referral is at least eighteen (18) years old;
● The Qualifying Referral resides in the United States;
● The Qualifying Referral is eligible under applicable law to use our Services;
● The Qualifying Referral has not been active player of our Services for at least forty-Eight (48) months prior to the start of the Cash Friendzy Promotion;
● The Qualifying Referral has successfully reached level Ten (10) in our game Poker Face: Texas Holdem Live during this Promotion Period and up to twenty-four (24) hours after the Promotion Period;
● The Qualifying Referral has the full right and authority to participate in the Cash Friendzy Promotion;
● The Qualifying Referral has completed the registration process on our Services and does not use multiple email addresses, accounts or identities or any other method in order to use our Services; and
● The Qualifying Referral does not register on behalf of another person.
11. Free participation - you may also enter into the Cash Friendzy Promotion by contacting the Company during the Promotion Period via the following email address invite.support@communix.com. The subject of the email must include "Free participation request - Cash Friendzy Promotion". The email must contain your username, phone number, email address and date of birth. Provided that such valid email (i) is associated with your account registered to use the Services, and (ii) is received by us during the applicable Promotion Period for the relevant Promotion, the valid email received by us will allow you to receive one (1) ticket into the Cash Friendzy Promotion. This free participation method can use only one time per user during the Cash Friendzy Promotion.
12. Any requests for participation that do not comply with the foregoing may be disqualified or void at our sole discretion. No other form or method for submitting an entry will be considered, unless otherwise set forth in the specific Cash Friendzy Promotion description.
13. The odds of winning are based on the number of eligible entries. The winners will be drawn at random from all valid entries by an automated computer system.
14. The choice of winners is final and binding, unless stated otherwise in these Cash Friendzy Promotion Terms or the General Promotion Terms.
Prizes
15. The awarded prize will be:
a. First ticket drawn = $3,000 (three thousand US dollars)
b. Second ticket drawn = $1,500 (fifteen hundred US dollars)
c. Third ticket drawn = $500 (five hundred US dollars)
("Prizes").
16. Prizes are non-transferable and cannot be redeemed for a cash equivalent.
17. The winners of the Cash Friendzy Promotion are solely responsible for reporting and paying any and all applicable taxes related to the Prizes and paying any expenses associated therewith which are not specifically provided for in the Cash Friendzy Promotion Terms.
18. By participating in the Cash Friendzy Promotion, you allow the Company to contact you, for the purpose of administration of the Cash Friendzy Promotion and awarding of Prizes. We will notify each potential winner by sending a notification through the email address or phone number (which was used to register to the Services or sent to us via our email address at the time you entered into the Cash Friendzy Promotion), within Three (3) days from the end of the Promotion Period.
19. Except where legally prohibited, the potential prize winners may be required to sign and return to invite.support@communix.com, within Two (2) days of being notified, an affidavit/declaration of eligibility, liability and publicity release (“Affidavit”) in order to claim his/her prize.
20. We will make three (3) attempts to contact the potential winners within Twenty-four (24) hours. If we are unable to contact the potential winner within this specified time frame, or if such potential winner fails to sign and return the Affidavit, or is otherwise disqualified or does not comply with these Cash Friendzy Promotion Terms, General Promotion Rules or Terms, Company may forfeit the Prize and grant it to another winner.
21. It is your sole responsibility to notify us in writing if you changed your email address during the Promotion Period.
22. Prizes will be delivered to winners within Thirty (30) days from the Company receiving the winner's full details (as required to provide the prize), unless Company, in its sole discretion, as any reason to believe the winner is not eligible to participate in the Cash Friendzy Promotion or to be awarded the Prizes.
23. Prizes will be granted to winners through PayPal only and it is your sole responsibility to ensure that you hold a PayPal account when awarding you the Prizes, otherwise the Company may forfeit the Prizes and grant it to another winner.
24. Company is not responsible in any manner for, any warranties, representations, or guarantees, express or implied, in fact or law, relating to any of the Prizes, regarding the use, value or enjoyment of the Prizes, including, without limitation, their quality, condition, or fitness for a purpose. The winners of the Prizes, and their Qualifying Referral, hereby agree to release the Company and its affiliates, officers, directors, employees, and agents, from any and all claims in connection with the Cash Friendzy Promotion and the award or use of any of the Prizes.
25. Prizes and Participation in the Cash Friendzy Promotion are not available to persons under the age of 18.
26. Your Qualifying Referral must also meet our eligibility criteria, namely that they are not excluded from entering into the Cash Friendzy Promotion due to any of the requirements as set out in the Cash Friendzy Promotion Terms, General Promotion Rules or Terms.
Additional General Terms
27. Company may cancel, modify or suspend the Cash Friendzy Promotion, and any of the Prizes or benefits offered hereunder, including without limitation, where required for security reasons, to comply with applicable law or regulation, due to abuse or otherwise where due to circumstances beyond its control (e.g. epidemic, earthquake, strike, war, act of God etc.) the Cash Friendzy Promotion is not capable of being conducted as specified.
28. Company reserves the right to change the Prizes and terms of this Cash Friendzy Promotion at any time and without prior notice.
29. If we become aware of any fraud, deceit, misconduct, dishonesty or similar action concerning your participation in the Cash Friendzy Promotion, or if you acted in a disruptive manner or with the intent to disrupt or undermine the legitimate operation of the Cash Friendzy Promotion or if you breached any of these Cash Friendzy Promotion Terms, General Promotion Rules, Terms and/or any additional laws, regulations and rules which apply to your use of the Services and/or your participation in any Cash Friendzy Promotion, then (i) we reserve the absolute right to automatically and immediately disqualify you or invalidate your entry, and (ii) we also reserve the right to seek damages and other remedies from you to the full extent permitted by law. If fraud, deceit, misconduct, dishonesty or other action is only discovered after any applicable reward has been granted to you, then you shall be required, upon demand, to return the Prize (or provide equivalent compensation) to us immediately upon receipt of our demand to do so.
30. The winners understand and agree that in order to claim their Prize, they will be required to participate in a publicity campaign promotion that would be recorded in audio-visual means. Winners hereby acknowledge and agree that in the event they fail to return the Affidavit within the required time period and/or fail to participate in the publicity, they forfeit any and all of their right to receive or collect the Prize and acknowledge and agree that Company may in its sole discretion select other winners.
31. Winning a Prize constitutes your consent that Company will use the following information concerning you: name, username, photo, state of residence and the Prize and you hereby grant us and our affiliates, a worldwide, fully paid up, royalty free right and license, to use (a) your name and username; (b) your image, photograph and likeness; (c) your testimonial regarding the participation and/or use of our services or products; and (d) details regarding your winning (collectively, the "Information"), and to reproduce, distribute, publicly display, publicly perform and make derivative works, based upon such Information, in whatever media format, including through broadcast media, for public relations, marketing and promotion purposes relating to the Cash Friendzy Promotion or the Company. All processing of personal data by us will be made in accordance with the terms of our Privacy Policy.
32. If you win a Prize, you hereby waive any and all rights of paternity, integrity and any other rights that be known as or referred to as “moral rights” in and to the Information which you may acquire pursuant to this release or by operation of law. You understand that will not be entitled to any payment or other acknowledgement in relation to the any use of the Information by the Company.
33. If you are required to submit a Qualifying Referral personal data for the Cash Friendzy Promotion, you must ensure that your Qualifying Referral have given you consent to provide us with their personal data.
34. For the avoidance of doubt, Apple is not involved in or sponsor this Cash Friendzy Promotion.
35. Third party terms and conditions may apply to certain parts of a prize, where applicable. For example, where the prize contains ticket(s) to an event, you and any Qualifying Referral will not only be bound by the Cash Friendzy Promotion Terms, but also the event organiser and venue owner’s rules and all terms and conditions set out on the ticket, including but not limited to age limitations, registration etc.
36. This Cash Friendzy Promotion is not endorsed by, affiliated, or associated with, maintained, or sponsored by any third party. All products, services and company names referenced and/or included are the registered trademarks of their original owners. The use of any mark, name, image, or likeness is for identification and reference purposes only and does not imply any association with the trademark holder, respective individual, or their brand. The Company expressly disclaims any affiliation with any third-party trademarks or rights of publicity referenced and/or included on Cash Friendzy Promotion, or related materials. The use of any mark, name, image, or likeness is not intended to mislead, confuse the customer, or infringe on the copyright, rights of publicity, or trademark of any third party. Such use in no way indicates any relationship with any third party, nor does it signify that any such third party is the source of, endorses, approves of, or sponsors the use of our Services. We make no commercial claim to the use of any copyright, rights of publicity, or trademark of any third party, or suggestion of sponsorship or endorsement, and any such use is provided for informational purposes only.
37. The Promotion will be governed by the laws of the state of Israel and entrants to the Promotion submit to the exclusive jurisdiction of the courts of Israel.
38. In case of a conflict between these Cash Friendzy Promotion Terms, the General Promotion Rules or the Terms, these Cash Friendzy Promotion Terms shall prevail.

Comunix Ltd. – General Promotion Rules
Effective as of December 19th, 2022.
The following are the general promotion rules ("Rules") of the Company promotion ("Promotion"), which is sponsored by Communix Ltd ("Company", "us" or "we" or "our"). These Rules and Company’s Terms of Use, govern your participation in the Promotions. All collection and processing of personal information as part of or in connection with participating in any Promotion is subject to and governed by our Privacy Policy.
By participating in a Promotion, you hereby represent and warrant that you have read and shall be bound by these Rules, the Terms of Use, the Privacy Policy, and any and all other terms and conditions relating to the Promotion. In the event you do not agree to be bound by these Rules and/or the Terms of use, or any amendment, you must not participate or otherwise take part in any Promotion and/or to withdraw and discontinue your participation in a Promotion.
Capitalized terms used but not defined herein shall have the meaning given to them in the Terms of Use.

Eligibility
Eligible entrants must be: (i) eighteen (18) years of age (unless the applicable age of majority in your state of residence at the time of the entry is higher) or older; and (ii) eligible under applicable law to participate in the Promotion. Notwithstanding, Company reserves the right to limit specific Promotion to entrants located in a particular jurisdiction, in which case only users residing in such jurisdiction at the time of entry may be eligible to participate in the Promotion.
Company's employees (including, without limitation, part-time or temporary employees), officers, and representatives, promotion agencies and/or sponsors directly involved in the administration, development, fulfillment, and execution of a specific Promotion, and the immediate family and other household members (i.e., spouses, parents, grandparents, children, grandchildren, roommates, housemates, significant others, partners, and siblings) of any of the above are not eligible to enter and/or to win a Promotion.
Company reserves the right to ask you at any time to provide us or our designated third parties with proof of your age, identity and/or residency in order to participate in any Promotion. You agree, on-demand, to present Company, or any third party on its behalf, with valid documentation that may enable us to verify your age, identity, and/or residency. If you are unable to provide satisfactory documents, we may exclude you from the applicable Promotion and you may forfeit any privileges or awards that have been allocated to you without compensation of any kind. You hereby irrevocably waive any claims or rights in connection with any such exclusion and/or forfeiture.
2. How to enter a Promotion
During the period of any specific Promotion (the “Promotion Period”), you can enter the Promotion by using the Services and follow the links and instructions for entering the Promotion. Company will publish the applicable Promotion Period as part of the description for each Promotion. Please note that the use of the Services, which can be downloaded free of charge, requires an internet connection and a compatible device. You must enter the Promotion during the Promotion Period of the relevant Promotion in order to be eligible to win applicable prize(s). Company and/or our affiliates’ systems will be used for determining when the Promotion Period of a certain Promotion has commenced or concluded, and such determination shall not be disputed for any reason.
All requests for entry into a Promotion shall become the exclusive property of Company and will not be acknowledged or returned. Entries received that are from ineligible entrants and/or do not comply with these Rules will be considered void. Entries that are determined to be fraudulent will be considered void, and the person making such entry may be barred from participation in the Promotion and, in Company’s sole discretion on a case-by-case basis, banned from any future participation in any future Company Promotions and/or Services. Proof of sending or submission will not be deemed to be proof of receipt. You hereby agree than in no event will you have any claims against us for any requests that were not received or acknowledged by us, for any reason whatsoever, or which were received before or after the Promotion Period for the applicable Promotion.
Company reserves the right to prohibit the participation of any individual from any Promotion for any reason, including, without limitation, in the event of suspected fraud or tampering or if the individual fails to comply with any requirement of participation as stated herein or the Terms of Use. Without limiting the foregoing, Company may lock out any participant who, in Company’s sole judgment, has been disqualified, has questionable eligibility, or is otherwise ineligible to participate in the Promotion. Any person who deliberately attempts to undermine or interfere with the legitimate operation of any Promotion and/or any Services may be subject to civil and/or criminal penalty, and Company reserves the right to seek damages from any such person to the fullest extent permitted by law.
Use of robotic, mechanical or other forms of pre-programmed entry methods is strictly prohibited. Entrants may not use such manipulation tools and Company reserves the right (in its sole discretion), from time to time, to implement entry processes that may frustrate or prohibit such automated entry; provided, however, that no entrant in any Promotion may rely upon or insist upon Company’s failure or refusal to take any of the foregoing actions or to determine, in its sole discretion, that one entrant’s entry should be discounted because another entrant’s entry was or vice versa.
Unless otherwise specifically allowed with respect to any Promotion, you may not use multiple email addresses, accounts or identities or any other method in order to participate in any Promotion. Any use of automated system or any similar method to participate in any Promotion is strictly prohibited and may result in your disqualification from the Promotion and/or future use of the Services. The person to whom the email address was assigned by the applicable operator shall be deemed as the owner of such email address.
Company reserves the right to modify, alter, or change the Rules, regulations, and prize amounts of any Promotion at any time in its sole discretion. All changes shall be made known prior to the beginning of a Promotion. You acknowledge that you shall be responsible for staying up to date with any and all changes made to a Promotion. In the event of modifying a Promotion, your continued participation in the Promotion constitutes acceptance of the modified Rules.
3. Prizes
The manner in which a winner is selected may vary depending on the Promotion and will be detailed in the description for each Promotion or as otherwise posted via our Services. Our decisions regarding the administration and operation of any Promotion, including, without limitation, the selection of potential winners from all eligible participants are final and binding in all matters related to the Promotion. Prizes will vary from one Promotion to another and will be indicated in the description for the applicable Promotion. Odds of winning any Promotion will depend on the total number of eligible entries received for such Promotion.
Unless otherwise set forth in the description for a Promotion, all prizes provided to winners for a Promotion are Virtual Items, with no "real world" value, and can only be used within the Services. You agree that your use of Virtual Items shall be governed in accordance with the Terms of Use. If a prize, or any portion thereof, cannot be granted for any reason, we reserve the right (but not the obligation) to substitute such prize for one of equal, lesser or greater value. If, notwithstanding the foregoing to the contrary, any specific prize will have actual "real world" value (i.e. cash prize), such value will be specified in the description for the relevant Promotion and in any event, you are not allowed to transfer or substitute any prize received from participating in a Promotion. All prizes hereunder are offered "as is" without warranty either expressly or in an implied fashion.
You shall be solely responsible for any taxes or fees associated with your receipt of a reward. Any and all taxes on a prize, and any other expenses not explicitly stated herein, are the sole responsibility of the prize recipient.
Company will notify each potential winner by sending a notification within the Services or as specified in the description of the Promotion. If a potential winner cannot be contacted within seventy-two (72) hours, or if such winner is otherwise disqualified or does not comply with these Rules, the potential winner will be disqualified and forfeit the prize. It is your sole responsibility to notify us in writing if you changed your email address during the Promotion Period. Notwithstanding, no prizes shall be given to any user who is ineligible to participate in the Promotion or fails to comply with these Rules, the Terms of Use, or any other rules for participation in the Promotion.
If any potential winner is required by any applicable law, these Rules, and/or by any other rules for any applicable Promotion to comply with additional conditions or requirements in order to participate in the Promotion and receive the prize, such potential winner must fully comply with such requirements within the time set by us before and as a condition to receiving the prize. If a potential winner is disqualified for any reason, we may award the applicable prize to an alternate winner from among the remaining eligible participants, in our sole discretion.
4. Limitations of liability and release
By entering into a Promotion, you agree to release, indemnify, and hold harmless Company, and its respective parents, subsidiaries, affiliates, distributors, suppliers, and advertising, promotional and judging organizations and each of their respective employees, officers, directors, shareholders, and agents (collectively, the “Releasees”) from and against any and all claims, expenses, and liability sustained or incurred from participation in any Promotion and the receipt and use of any prize(s) awarded through any Promotion arising in any manner whatsoever, including but not limited to an act or omission, whether negligent, intentional or otherwise, caused by the Releasees and/or any Promotion.
By entering into a Promotion, you agree to indemnify, defend and hold harmless the Releasees from and against any and all claims, expenses, and liabilities (including reasonable attorneys/legal fees) arising out of or relating to any other user’s participation in the Promotion.
You agree that the Releasees are not responsible for any incorrect or inaccurate information, whether caused by the Services, other users, or by any of the equipment or programming associated with or utilized in the Promotion and that the Releasees assume no responsibility for (i) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from a user’s participation in a Promotion or receipt or use or misuse of any prize; (ii) any error, omission, interruption, deletion, defect, or delay in operation or transmission on the Services; (iii) any computer, telephone, cable, satellite, network, electronic or internet hardware or software malfunctions or failures, problems with connections or availability; (iv) garbled or jumbled transmissions, service provider/internet/web site/use net accessibility or availability; (v) traffic congestion; (vi) unauthorized human intervention; or (vii) theft or destruction, tampering, or unauthorized access to entries and/or entry information. If, for any reason, a Promotion is not capable of running as planned by reason of infection by computer virus, unauthorized intervention, fraud, tampering, technical failures, or any other causes beyond the Releasees control and, in the sole opinion of the Releasees, corrupt or affect the administration, security, fairness, integrity or proper conduct of a Promotion, the Releasees reserve the right, at their sole discretion, to cancel, terminate, modify or suspend such Promotion and select the winner(s) from among all eligible entries received for such Promotion prior to the action taken.
In no event will the Releasees be responsible or liable for any damages or losses of any kind, including indirect, incidental, consequential or punitive damages, other than your actual out-of-pocket expenses arising out of your participation in a Promotion. Without limiting the foregoing, the Services are provided “as is” without warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties so some of the above limitations or exclusions may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
5. General
By participating in any Promotion, each entrant hereby consents to Company’s usage of any one or more of the following for on-air broadcast, online usage and/or for any other advertising and promotional purpose in any medium whatsoever without payment of any additional consideration: entrant’s name; voice; image; likeness; biographical information; his/her participation in the Promotion; prizes won; and the substance of the entrant’s entry form or any other Promotion submissions. Each entrant hereby grants Company a perpetual, unlimited, non-exclusive, royalty-free, right and license to use any or all of the foregoing in any manner as determined by us in our sole discretion.
All Promotions shall be subject to all applicable federal, state, and local laws and regulations, and are void where prohibited or restricted by law.
Company reserves the right to: (i) terminate or declare any Promotion null and void and rescind any prize, if in its sole judgment, the Rules or the integrity of the Promotion have been violated or compromised in any way, intentionally or unintentionally by any person, whether or not a participant in the Promotion; (ii) alter or amend these Rules at any time; and/or (iii) stop or conclude any Promotion at any time without prior notice. Material changes to these rules will be posted on the Services, when practical.
Company shall be the sole arbiter in all matters relating to any Promotion and the interpretation of these Rules and the Terms of Use. The decisions of Company will be final as to all matters, including, without limitation, whether any entry submitted is valid or not. Entry into any Promotion constitutes agreement by entrants to abide by these Rules and the Terms of Use, as well as any other rules established by Company.
Any claims or disputes in connection with any Promotion and the construction, validity, interpretation and/or enforceability of these Rules shall be governed by, and construed in accordance with, the laws of the state of Israel, without giving effect to any choice of law or conflict of law rules.
Any and all disputes shall be resolved as set forth in the Terms of Use.
